Associate General Counsel / Senior Attorney

Job Description:

We are looking for an Associate General Counsel / Senior Attorney to provide legal support for various operations of the business, particularly the sales organization. Duties include reviewing, negotiating, and finalizing technical aspects of software licensing agreements to close a wide variety of transactions; working with internal and external representatives. The position will require interactions with customers as well as a broad spectrum of internal functions, including product groups, sales, services, technology, operations and finance. This position will also work closely with executive management developing, implementing, improving and reviewing legal and compliance processes, procedures and training. This position requires a team player who can work with minimal supervision in a fast-moving environment with tight deadlines and multiple demands. This position will report to the CFO and work closely with sales and executive management.

Position Duties:

  • Review, structure, negotiate, and finalize a wide variety contracts such as software licenses, partnership agreements and HR/employment policies
  • Work directly with client attorneys and company sales/management representatives to negotiate sales contracts
  • Work through complex business/contractual issues using sound business judgment
  • Consistently anticipate, guard against, provide timely evaluation and guidance of, and propose mitigation strategies for and advise management of potential risks in contractual, regulatory, revenue recognition, compliance, financial and legal areas
  • Assist CFO in developing, implementing, improving and reviewing legal and compliance processes, procedures and training such as stock option agreements, general corporate compliance matters, etc.
  • Assist with various other legal matters at the direction of Executive Management
  • Work with our outside legal counsel on specialty matters
  • Train applicable parties on key contract and legal issues affecting the business

Candidate Requirements:

  • Bachelors degree required; Law degree required
  • 3 to 8+ years of experience, preferably in-house, with broad commercial contract experience
  • Strong understanding of contract law and implementation across a large number of contracts in a software sales environment
  • Ability to independently handle negotiations, recommend creative solutions, and finalize favorable terms
  • Experience in handling claims and litigation matters including evaluation of liability and risk, resolution of contract dispute issues and technology licensing matters with ability to advise management
  • Effective verbal and written communication skills in all interactions with senior management, corporate departments and all levels of employees
  • Developed business acumen, with ability to understand the company’s business and anticipate the natures and magnitude of issues that could arise in various settings
  • Experience with enforcing compliance across an organization desired
  • Experience with revenue recognition and other accounting issues that arise in commercial transactions with large software companies desired
