Michael Caito, CEO,
Mr. Caito was the CEO and co-founder of ROTR.com prior to the sale of the company to Grubhub (GRUB). He was the previous Chairman of Entrepreneur's Organization, a global community of entrepreneurs with over 9,000 members in 43 countries. Michael has traveled to more than 25 countries to interact with business owners about entrepreneurship within their respective regions, cultures and political environments. He is an active member of the Young Presidents' Organization (“YPO”). His business passions include leadership development and involvement with high performance organizations with current investments in restaurants, real estate and start-ups. Mr. Caito also commits time to the Child Guidance Center of Orange County and youth sports leagues.
Jeremy D. Glaser
Jeremy serves as Co-chair of the firm’s Venture Capital & Emerging Companies Practice. Jeremy regularly represents technology-based companies principally in the software, mobile applications, clean energy, medical device and life science fields. He represents both issuers and underwriters in a wide variety of securities transactions, including IPOs, secondary offerings, and private placements, and represents venture capital firms, hedge funds and their portfolio companies in venture capital and PIPE financings. He also has deep expertise in representing buyers and sellers in acquisitions and dispositions of public and private companies.
Jeremy routinely assists his clients in growing their businesses and obtaining financing, guiding companies from initial organization through angel and venture capital financings, initial public offerings, strategic alliances, and mergers and acquisitions.
Jeremy brings a unique combination of practical legal and business experience to his clients, having served as general counsel and a partner at Sterling Stamos Capital Management, LP, an investment management company managing hedge funds and a private equity fund, and as a member of the senior management team of Medibuy.com, Inc., a Kleiner Perkins, Sequoia, and Oak venture-backed B2B software company focused on the health care services industry. Jeremy is a member of the board of directors of REBOOT! National Veterans Transition Service, Inc. (NVTSI). NVTSI is a San Diego-based not-for-profit organization dedicated to assisting veterans in adjusting to civilian life and securing meaningful employment.
Patrick Hazel, President,

Patrick Hazel has a thirty year track record creating, funding, growing and restructuring enterprises from concept through liquidity in early, growth, and liquidity-stage ventures. He has operated successfully as a founder, Chief Executive, board member, senior executive team member, and strategic advisor to early stage through public enterprises and investors facing a variety of mission critical challenges and opportunities.
Mr. Hazel has deep experience with both venture capital and private equity investment models and has operated fluidly between the two paradigms for over twenty years. The revenue range of his P&L accountability has run from $10m to over $400M with his average annual rate of revenue growth across his career approximately 30%. He has generated substantial cash on cash return on investor’s equity (either through liquidity or dividends) over the course of his career of just over 4X while delivering liquidity optionality within an average of 3 1⁄2 years. Over his career, Mr. Hazel has raised just over $150M in early stage equity and $650M in senior debt.
He is hands-on operating executive and team builder who has developed through trial and error a practical set of management tools that drive results oriented, creative, and fluid operations. Having worked across divergent industry sectors in multiple countries, Mr. Hazel brings both depth and breadth to the issues facing high growth organizations in today’s disruptive world.
Mr. Hazel is a focused entrepreneur and performance coach who has worked diligently to combine the best dynamics for great invention with best practices for effective execution and rapid growth. He has constantly refined his understanding of how to organize the enterprise to properly balance creative chaos with low-friction process so that innovation thrives but products get crisply delivered. He has consistently built high performance teams of motivated professionals in diverse conditions and missions.
In between assignments as a CEO, Mr. Hazel is busy as a principal advisor at MidSummer Advisors, a 10 year old advisory practice that provides highly customized decision support to boards of directors and C-level executives, particularly in the area of new acquisition integration. Other practice areas include corporate development design, strategic product development, and high growth management.
Mr. Hazel loves the outdoors, spending as much time as possible with a fly- rod, camping, surfing, skiing or otherwise just being outside. His wife, Janeen, their three children and two Labradors reside in Rancho Santa Fe, California.
He recently was appointed President of the Kelly Slater Wave Company.
Michael Lowell, Managing Director,
B. Riley & Co.
Mr. Lowell joined B. Riley & Co. as a Managing Director of Corporate Finance in 2004. Mike has over two decades of experience in investment banking, financial accounting, business development and operations management. Prior to joining B. Riley & Co., Mr. Lowell was a Managing Director with the Seidler Companies and a Director with UBS/PaineWebber’s technology banking group. In addition, Mike was an early member of Autobytel.com’s management team, where he held various executive management positions. Earlier, Mr. Lowell was the Chief Financial Officer of two publicly traded companies, where he was responsible for all corporate and regulatory filings and the successful completion of public offerings on the NASDAQ and NYSE. Prior to this Mr. Lowell worked for Pacific Diversified Capital a private equity firm focused on middle market investments.
Mr. Lowell has a successful track record of working with emerging growth and middle market companies to enhance shareholder value through strategic consultation and corporate finance initiatives. He has served as an advisor on numerous successful engagements including: Advanced Photonics, NeoPhotonics, LightWorks Technologies (sale to II-VI), Restraurant on the Run (sale to GrubHub), Web.com, Tix Corporation, VXI Technologies, Bisco industries, Hycor Biomedical, Yard House Restaurants, Autobytel (multiple assignments), Etreby Computer Company, Baja Fresh, Empire Oil, Higher Gear, netGuru, Interlink Electronics, Islands Restaurants, Kitty Hawk, Index Fresh, Precision Spine, Pearlman Corporation, Ready Pac Foods, Laser Diagnostics, Medibuy, Widcomm, LazyDog Restaurants, Claim Jumper Restaurants and Marie Callender Pie Shops.

Scott J. Pinarchick, Member,
Scott is a Member and business lawyer with the firm. Scott’s practice focuses on US federal income tax matters with special emphasis on the taxation of corporations, partnerships and limited liability companies, domestic, foreign and cross-border mergers and acquisitions, debt financing and fund formation. He also has experience with S corporations and executive compensation matters.
Scott has significant experience in international tax issues that arise in cross-border transactions. He regularly advises US and non-US investors regarding their investment activity in and outside of the US. Scott’s clients include private equity, venture capital and other investment firms, operating companies, financial institutions and insurance companies.
Prior to joining Mintz Levin, Scott was a partner at a large, international law firm.
