Luc Attlan concentrates his practice on international corporate transactions and counseling. He advises a broad range of clients, ranging from small businesses to multinational Fortune 50 corporations, in all aspects of corporate and transactional matters. His clients include foreign companies seeking to do business in the U.S. (either through acquisitions, joint ventures, or distributors and sales representatives) and U.S. companies seeking help with their foreign operations.

Luc has traveled extensively and lived many years in Europe and South America, and is fluent in French and Spanish, resulting in a broad network of contacts (inside and outside of law) around the world. He is a member of the French-American Chamber of Commerce and was appointed as a French Economic Advisor (a conseiller du commerce extérieur de la France) by the French government in 2011. He has written a number of articles and given many speeches on the legal and commercial aspects of investing and doing business in the US, and about cross-border transactions generally.

Before he became a lawyer and joined the firm in 2005, Luc was an equity options trader with Third Millennium Trading on the floor of the Chicago Board Options Exchange. This background in finance

and trading gives him a unique edge because he understands the importance of taking calculated business risks from time to time, and weighing risks versus rewards when making legal decisions or negotiating compromises with other parties. Furthermore, his multi-cultural background allows him to bridge the communication gap that often exists between parties and lawyers of different backgrounds.

Benjamin Gould represents corporations and financial institutions in M&A, financing transactions and corporate law matters. He offers extensive experience in complex cross- border transactions, and has negotiated and closed deals ranging from hundreds of millions to billions of dollars in value over the course of his career. Accessible, diligent and patient, Ben is personally committed to helping his clients achieve their business objectives both in the U.S. and abroad.

Ben’s experience includes advising foreign and domestic public and private companies on domestic and international acquisitions, divestitures, restructurings, joint ventures, inbound and outbound investments, financing matters and governance issues. He prepares and negotiates acquisitions, joint venture agreements, investment deals, financing agreements, letters of credit, intercreditor agreements and security arrangements.

Ben has served clients from a wide variety of industries, including manufacturing, financial services, food and beverage, pharmaceuticals, software, technology services, distribution and other general services.

An Illinois Super Lawyers “Rising Star” from 2012 to 2016, Ben works with a diverse group of clients primarily from Europe and Japan. He is highly skilled in navigating foreign businesses through the domestic M&A process. Notably, Ben is well- versed in the issues foreign acquirers face when doing business in the U.S., particularly when integrating their international operations with their acquired U.S. business.

Alistair Hogarth is a corporate M&A and structuring partner in the London office of the UK headquartered international law firm, DWF LLP.

Alistair started his career at the international law firm, Clifford Chance in 1993 before moving, in 1997, to PwC in London where he worked as a transactional lawyer on both domestic UK and cross-border M&A transactions, acting for a combination of international and domestic corporate clients and private equity firms.
Alistair became a partner in 2007 and from 2008-2012, he was also PwC's legal services leader for Central and Eastern Europe (CEE), where he led the strategic development of PwC's 18 legal practices in CEE, from the Czech Republic in the west through to Kazakhstan in the east.

Alistair joined DWF in February 2017 and at DWF he specialises primarily on private company mid-market transactional work, comprising buy-side and sell-side M&A, fundraisings, strategic alliances and joint ventures. Alistair has been a frequent business visitor to Chicago and the Mid-West since 2013 and since joining DWF, he has continued to have a Mid-West focus in terms of developing DWF's US corporate and institutional relationships.

DWF is a full service law firm employing over 2,700 people across 25 key locations (including mainland UK (including Northern Ireland), France, Germany, Italy, Republic of Ireland, Singapore, Australia, Dubai and Belgium (with additional insurance claims handling offices in Chicago and Toronto). Vaughn MacLellan’s practice focuses on advising issuers and investment dealers on securities matters, with an emphasis on corporate finance, mergers and acquisitions and securities law compliance.

Vaughn regularly acts on a variety of securities and corporate finance transactions including public offerings and private placement financings for early stage and mature companies, public and private mergers and acquisitions, including take-overs, business combinations and Capital Pool Company transactions, and stock exchange listings.

He also advises his clients on an array of general securities and corporate law matters, including public company securities law compliance and corporate governance issues. Vaughn has extensive experience acting on behalf of clients in a variety of industries including the mining, real estate and technology sectors.

Vaughn was a contributing author to Halsbury’s Law of Canada – Securities, and is an adjunct professor of law at the University of New Brunswick where he teaches Corporate Transactions.

Vaughn has been a frequent speaker at the TSX Venture Exchange’s “Success Workshop” in Toronto and has spoken at various CBA legal conferences.

For over 30 years, Bruce has been actively involved in business valuations, mergers and acquisitions and other financial and tax consulting matters. He currently handles various corporate valuation projects and forensic/litigation assignments for U.S. clients – both nationally and internationally. He works with both private equity sponsors and individual corporate owners.

Bruce has directed hundreds of engagements involving business valuations. His experience covers the full spectrum of industries including: hospitality, manufacturing, distributors, hedge funds/private equity groups, professional practices, health care, internet-based companies and multimedia companies.

The results from his valuations have been used for: Estate and Gift taxes; Federal income tax valuations; litigation and expert testimony; strategic planning; lost profit and shareholder disputes; ownership succession planning; mergers and acquisitions; matrimonial matters; buy/sell agreements, reorganizations/bankruptcy/workouts; corporate financial reporting; and fairness opinions.

Bruce has also advised on public and private transactions including standalone acquisitions, start-ups and other types of transactions.

Bruce is also experienced in fair value valuations for financial reporting associated with purchase price allocations, goodwill impairment testing, equity based compensation and portfolio valuations for private equity. He has been involved in several major divorce cases as an expert witness and has testified in various state courts. Bruce’s testimony has covered business valuation and financial matters in matrimonial cases, shareholder disputes, and other commercial litigation.
