M&A in 2015: Successor liability under the FCPA
To minimize the risk presented by successor liability, an effective M&A due diligence plan should include an appropriately tailored, risk-based anti-corruption component.
An important lesson from a recent US Department of Justice (DOJ) Opinion Procedure Release (OPR) is the importance of conducting such diligence and taking appropriate remedial measures to mitigate potential exposure under the US Foreign Corrupt Practices Act (FCPA). US regulators expect companies to conduct this due diligence even if the target was not previously subject to the FCPA.

Bilateral Chamber Partners with the Arabic Immersion Magnet School |

The Bilateral Chamber is proud to support the inaugural class of one of the nation’s first Arabic Immersion Schools. Launching in August 2015, Houston Independent School District’s (HISD) Arabic Immersion Magnet School (AIMS) will lead the way in Arabic immersion education. Students at AIMS will spend half their day learning in English and half their day learning in Modern Standard Arabic.
HISD is now accepting applications for Pre-K and Kindergarten. Click here to apply.

CDFS also assists universities and companies who license intellectual property from universities develop strategic patent and trademark portfolios. As an example, one of CDFS’ clients is Marodyne Medical, a research and development company specializing in safe intervention for illness, disease and injury. The science behind its core product (LIVMD) is described in several patent applications licensed from the Research Foundation of the State University of New York. CDFS is handling the prosecution of the patent applications before the US Patent and Trademark Office and is collaborating with foreign law firms to prosecute the patent applications in several countries.
