CANCELLATION In the event of a cancellation occurring 0 to 3 Working Days prior to arrival, liquidated damages in the amount of one hundred percent (100%) of the Group Room Night Commitment, seventy percent (70%) of the Minimum Spend, and "Total Meeting Room Rental" (as defined in the Event Order) will be due, plus applicable taxes. In the event of a cancellation occurring 4 to 90 Working Days prior to arrival, liquidated damages in the amount of ninety percent (90%) of the Group Room Night Commitment and forty percent (40%) of the Minimum Spend, and Total Meeting Room Rental will be due, plus applicable taxes. In the event of a cancellation occurring 91 to 180 Working Days prior to arrival, liquidated damages in the amount of eighty percent (80%) of the Group Room Night Commitment and forty percent (40%) of the Minimum Spend, and Total Meeting Room Rental will be due, plus applicable taxes. In the event of a cancellation occurring 181 to 365 Working Days prior to arrival, liquidated damages in the amount of seventy percent (70%) of the Group Room Night Commitment and forty percent (40%) of the Minimum Spend, and Total Meeting Room Rental will be due, plus applicable taxes. In the event of a cancellation occurring between the time of acceptance of this contract and 366 days prior to arrival, liquidated damages in the amount of fifty percent (50%) of the Group Room Night Commitment and forty percent (40%) of the Minimum Spend, and Total Meeting Room Rental will be due, plus applicable taxes. CANCELLATION BY THE HOTEL Hotel may cancel the event and terminate this Agreement without liability if the event might prejudice the reputation of the Hotel; if the Hotel becomes aware of any deterioration in the Organization’s financial situation such that the Hotel reasonably considers the Organization may not be able to fulfil its material obligations under the Agreement; or if the Organization fails to pay any sum when due. The Hotel may charge the cancellation fees (detailed above) in the event of any cancellation. The parties acknowledge and agree that a court order, approval or judgement will not be required to give effect to any cancellation of this Agreement.
